1. Acceptance of Terms

This website at geecell.com, together with every portal and application made available on it, is operated by GEECELL Innovations Private Limited, a company incorporated under the Companies Act, 2013, bearing CIN U46524KA2023PTC182003 and having its registered office at No. 57, First Floor, Om Shakthi Complex, Garvebhavi Palya, Hosur Road, Bommanahalli, Bangalore, Karnataka 560068 ("GEECELL", "we", "us", "our").

By accessing, browsing, registering on, or otherwise using this website, you agree to be bound by these Terms of Service and by our Privacy Policy, which is incorporated into these terms by reference. If you do not agree to these terms, please do not use this website.

If you are using this website on behalf of a company, firm, or other entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

2. Definitions

• "Website" means geecell.com and all pages, portals, and services made available on it.
• "Partner" or "Service Centre" means an authorised service centre that has been onboarded into the GEECELL network.
• "Brand" or "Client" means a manufacturer or brand owner that has engaged GEECELL for after-sales services.
• "Vendor" means a supplier of parts, logistics, or other services to GEECELL.
• "Portal" means any password-protected area of the Website, including the Staff, Client, Partner, and Vendor portals.
• "Definitive Agreement" means the signed commercial contract between GEECELL and a Partner, Brand, or Vendor.

3. What We Provide

GEECELL operates an after-sales service network in India. Through this Website we provide information about that network and give authorised users access to operational tools for managing service jobs, warranty claims, spare parts, invoicing, and settlements.

The Website is an informational and operational interface. It is not an offer to contract, and nothing on it constitutes a binding commitment by GEECELL to provide services, grant authorization, or accept any applicant into the network.

4. Eligibility

You may use this Website only if you are at least 18 years of age and legally competent to enter into a contract under the Indian Contract Act, 1872. Portal access is additionally restricted to persons authorised by a Partner, Brand, Vendor, or GEECELL itself.

You agree that any information you provide to us — whether through an application, an enquiry form, or a Portal — is true, accurate, current, and complete, and that you will keep it updated.

5. Portal Accounts

Portal credentials are issued to a named individual and are personal to that individual. You agree to:

• keep your username, password, and any one-time codes confidential and not share them with anyone;
• use the Portal only for the purposes for which access was granted;
• notify us immediately at the address in clause 20 if you become aware of any unauthorised access or suspected compromise of your credentials;
• ensure that any person acting under your credentials complies with these terms.

You are responsible for all activity that occurs under your credentials. We may log Portal activity for security, audit, and dispute-resolution purposes.

Where you access the Portal on behalf of an organisation, that organisation remains responsible for ensuring that access is revoked promptly when a user leaves or changes role, and for notifying us of the change.

6. Partner & Brand Agreements

These Terms of Service govern your use of the Website only. They do not create, replace, vary, or supplement any commercial relationship between you and GEECELL.

The rights and obligations of a Partner, Brand, or Vendor — including scope of work, service levels, pricing, parts supply, claim eligibility, settlement cycles, deductions, term, and termination — are governed exclusively by the applicable Definitive Agreement.

In the event of any conflict between these Terms of Service and a Definitive Agreement, the Definitive Agreement prevails in respect of the commercial relationship, and these terms prevail in respect of Website and Portal use.

Nothing on this Website or in these terms creates a partnership, joint venture, franchise, agency, or employment relationship between you and GEECELL. Partners operate as independent contractors.

7. Applications & Enquiries

Submitting an onboarding application, a brand enquiry, or a contact form does not entitle you to be onboarded, authorised, or engaged. We evaluate applications at our sole discretion and may decline any application without giving reasons.

Where we indicate a response time — for example, a review within a stated number of hours — that is a service target we work to, not a contractual guarantee.

Any material you submit to us that is not personal data (for example, suggestions, feedback, or proposals) is provided on a non-confidential basis, and you grant us a perpetual, royalty-free licence to use it without restriction or compensation. Personal data you submit is handled in accordance with our Privacy Policy.

8. Acceptable Use

You agree not to:

• use the Website for any unlawful purpose or in breach of any applicable Indian law or regulation;
• attempt to gain unauthorised access to any Portal, account, server, or network connected to the Website;
• probe, scan, or test the vulnerability of the Website, or breach or circumvent any security or authentication measure;
• scrape, crawl, harvest, or systematically extract data from the Website, including service-centre listings, other than through interfaces we expressly provide for that purpose;
• introduce any virus, worm, malicious code, or other material that is harmful or technologically damaging;
• impersonate any person or misrepresent your affiliation with any person or entity;
• upload or transmit any content that is defamatory, obscene, infringing, or otherwise unlawful;
• use the Website in any way that imposes an unreasonable load on our infrastructure, or that interferes with any other user's use of it;
• reverse engineer, decompile, or attempt to derive the source code of any part of the Website or Portals.

We reserve the right to report any conduct we reasonably believe to be unlawful to the relevant authorities and to co-operate with them.

9. Intellectual Property

All content on this Website — including text, graphics, logos, icons, images, page layouts, software, and the design and structure of the Portals — is owned by or licensed to GEECELL and is protected by Indian and international intellectual property laws.

The "GEECELL" name, the GEECELL logo, and related marks are the property of GEECELL Innovations Private Limited. You may not use them without our prior written consent.

Brand names, trade marks, and logos of our Brand clients that appear on this Website remain the property of their respective owners and are displayed to identify the brands we service. Their appearance does not grant you any right to use them, and does not imply any endorsement of you by those brands.

You may view, download, and print pages of this Website for your own internal business use. You may not otherwise reproduce, distribute, modify, publish, or create derivative works from any part of it without our prior written consent.

10. Third-Party Content

This Website may contain links to, or embed content from, third-party websites and services — including mapping and location services used by our service-centre locator, and font and analytics providers.

We do not control those third parties and are not responsible for their content, availability, accuracy, or privacy practices. A link does not constitute an endorsement. Your use of a third-party service is governed by that party's own terms.

11. Disclaimers

The Website is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Website will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We may suspend, withdraw, or restrict all or part of the Website for business or operational reasons, and will try to give reasonable notice where we can.

Service-centre details shown in our locator — including addresses, contact numbers, working hours, distances, and brand authorizations — are provided for convenience and may change without notice. We recommend contacting a centre before travelling to it. We are not liable for any loss arising from reliance on listing information.

Network statistics displayed on this Website, including counts of service centres and brands, are drawn from our operational systems at the time of display and are indicative rather than warranted.

12. Limitation of Liability

To the maximum extent permitted by applicable law, GEECELL, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary loss, or for any loss of profit, revenue, business, goodwill, anticipated savings, or data, arising out of or in connection with your use of, or inability to use, this Website.

Our aggregate liability arising out of or in connection with your use of this Website, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed INR 10,000 (Rupees Ten Thousand).

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

This clause limits liability arising from Website use only. Liability arising under a Definitive Agreement is governed by that agreement.

13. Indemnity

You agree to indemnify and hold harmless GEECELL, its directors, officers, employees, and agents from and against any claim, demand, loss, liability, cost, or expense (including reasonable legal fees) arising out of or in connection with your breach of these terms, your misuse of the Website or any Portal, or your violation of any law or the rights of any third party.

14. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these terms. By using this Website you acknowledge that you have read it.

Where you submit personal data belonging to another person — for example, a customer's contact details entered into a service job — you confirm that you have the lawful basis and any necessary consent to share it with us for that purpose.

15. Suspension & Termination

We may suspend or terminate your access to the Website or any Portal immediately and without notice if we reasonably believe that you have breached these terms, that your credentials have been compromised, or that continued access presents a security, legal, or operational risk.

Suspension of Portal access does not by itself terminate any Definitive Agreement, and termination of a Definitive Agreement will result in the withdrawal of the corresponding Portal access.

Clauses 9, 12, 13, 17, and 18 survive any termination of your access.

16. Changes to These Terms

We may revise these terms from time to time. The revised version takes effect when it is posted on this page, and the "last updated" date above will change accordingly.

Where a change materially affects Portal users, we will make reasonable efforts to notify affected users through the Portal or by email. Your continued use of the Website after a change takes effect constitutes acceptance of the revised terms.

17. Governing Law

These terms, their subject matter, and their formation are governed by the laws of India.

Subject to clause 18, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute or claim arising out of or in connection with these terms or your use of this Website.

18. Dispute Resolution

If a dispute arises in connection with these terms, the parties shall first attempt in good faith to resolve it through discussion, following written notice of the dispute.

If the dispute is not resolved within thirty (30) days of that notice, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by GEECELL. The seat and venue of arbitration shall be Bengaluru, Karnataka, and the proceedings shall be conducted in English. The arbitral award shall be final and binding.

Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

19. Grievance Officer

In accordance with the Information Technology Act, 2000 and the rules made under it, the contact details of our Grievance Officer are published below. The Grievance Officer will acknowledge your complaint within twenty-four (24) hours and endeavour to resolve it within fifteen (15) days of receipt.
